Bay FC Ticketing Terms and Conditions

PLEASE READ THE FOLLOWING TERMS CAREFULLY AS THEY GOVERN YOUR RIGHTS UNDER THE TICKET AND CONTAIN A BINDING, INDIVIDUAL ARBITRATION AND CLASS-ACTION WAIVER PROVISION BY WHICH YOU GIVE UP THE RIGHT TO FILE A LAWSUIT IN COURT INDIVIDUALLY OR AS PART OF A CLASS ACTION WITH RESPECT TO ANY DISPUTES RELATING TO THE TICKET OR THE SPECIFIED GAME OR EVENT FOR WHICH IT IS ISSUED.
This ticket is a revocable license that grants the holder of this ticket a one-time entry to PayPal Park or other stadium where Bay FC plays a home match, and/or other event space where Bay FC hosts or organizes club-related activities (including, without limitation, the surrounding premises, parking areas and entry gates and other ancillary areas) (collectively, the “Stadium”) for the specific game, match or event (including any related activities, in whole or in part) specified on the ticket (the “Event”). The holder of this ticket, on behalf of the holder and any accompanying minor, including a minor holding a separate ticket (individually and collectively, the “Holder”), agrees to all of its terms. The Holder agrees that this ticket license is subject to these terms and conditions, as well as any additional terms and conditions established by BAFC Holdings, LLC and BAFC Team Operator, LLC and each of their affiliates (collectively, “Bay FC”), the National Women’s Soccer League and/or its member clubs and affiliates (collectively, the “NWSL”), and any Stadium operator at which the Event is held. By purchase, acceptance and/or use of this ticket and/or entering (or seeking entry into) the Stadium, the Holder is deemed to have read all such terms and agreed to be bound by them. The Holder also acknowledges that such terms may be updated at any time, and by purchase, acceptance and/or use of this ticket, the Holder additionally agrees to all such updated terms. The Holder must also comply with all federal, local, and state laws, rules and regulations. Failure to comply with any of these Terms or applicable law shall result in forfeiture of this ticket license and all rights arising hereunder without refund, and shall entitle the Stadium, NWSL, and Bay FC (collectively with the Stadium and NWSL, “Management”) to pursue all available remedies, including, without limitation, refusal, rejection, and/or withdrawal of admission. No person over the age of three years old may enter the Stadium without a ticket.
ALL TICKET SALES ARE FINAL. NO REFUNDS OR EXCHANGES EXCEPT AS PROVIDED HEREIN. THE SOLE AND EXCLUSIVE REMEDY IF THE EVENT CANCELLED AND NOT RESCHEDULED FOR ANY REASON, IS A REFUND OF UP TO THE TICKET PRICE SET BY MANAGEMENT (THE “FACE VALUE”), UNLESS OTHERWISE PROVIDED BELOW. IN NO EVENT SHALL MANAGEMENT BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES OF ANY KIND, OR ANY DAMAGES BEYOND THE FACE VALUE OF THE TICKET. FURTHER, IN NO EVENT SHALL MANAGEMENT BE LIABLE IN THE EVENT ADMISSION IS REFUSED, REJECTED, OR WITHDRAWN FOR HOLDER’S FAILURE TO COMPLY WITH THESE TERMS.
Any and all claims and disputes whatsoever, including, but not limited to those relating in any way to any these Terms and Conditions and/or any tickets, season tickets, memberships, season ticket plans, payment plans, invoices, games, marketing efforts, promotions, or any of our dealings with one another during any current or future season (“Claims”), including for Claims concerning the validity, scope or enforceability of this Arbitration Agreement, shall exclusively be resolved through BINDING INDIVIDUAL ARBITRATION. This Arbitration Agreement involves interstate commerce and shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16 (“FAA”), and not by state law.
Neither of us will have the right to a court or jury trial or to participate in a class action or class arbitration. Other customary rights that Bay FC and you would otherwise have if either went to court will not be available or will be more limited in arbitration, including the right to appeal. Bay FC and you each understand and agree that by allowing each other to elect to resolve any dispute through individual arbitration, BAY FC AND YOU ARE EACH WAIVING THE RIGHT TO A COURT OR JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY LAW. IF EITHER PARTY COMMENCES ARBITRATION, THE APPLICABLE DISPUTE SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, CLASS ARBITRATION OR ANY SIMILAR PROCEEDING. Neither the American Arbitration Association (“AAA”), which shall administer the arbitration, nor the arbitrator may consolidate the claims of multiple parties.
Arbitrations shall be administered by the AAA pursuant to the applicable AAA rules in effect at the time the arbitration is initiated. You may obtain information about arbitration, arbitration procedures and fees from AAA by calling 800-778-7879 or visiting www.adr.org. If the AAA is unable or unwilling to arbitrate a dispute, then the dispute may be referred to any other arbitration organization or arbitrator that both parties agree upon in writing or that is appointed pursuant to § 5 of the FAA. The arbitration shall take place in San Francisco, CA. The arbitrator shall be authorized to award any relief that would have been available in court, provided that the arbitrator’s authority is limited to Bay FC and you alone, except as otherwise specifically stated herein. No arbitration decision will have any preclusive effect as to non-parties. The arbitrator’s decision shall be final and binding. Bay FC and you agree that this Arbitration Agreement extends to any other parties involved in any Claims, including but not limited to those you permit to use your tickets and relevant Bay FC employees, affiliated companies and vendors.
Notwithstanding any other provision of this Arbitration Agreement, if the foregoing class action waiver and prohibition against class arbitration is determined to be invalid or unenforceable, then this entire Arbitration Agreement shall be void. If any portion of this Arbitration Agreement other than the class action waiver and prohibition against class arbitration is deemed invalid or unenforceable, it shall not invalidate the remaining portions of this Arbitration Agreement. This Arbitration Agreement will survive the termination of this Agreement and any related agreement, your fulfillment or default of your obligations under this Agreement or any related agreement, and/or your or Bay FC’s bankruptcy or insolvency (to the extent permitted by applicable law).
IF HOLDER DOES NOT CONSENT TO THESE DISPUTE RESOLUTION PROVISIONS, HOLDER MUST LEAVE OR NOT ENTER THE STADIUM. You have the right to opt out of arbitration under these Terms by sending the Bay FC a written opt out notice via email to moc.cfyab @lagel within the earlier of the Event date or thirty (30) days after purchase of your ticket. Such an opt out will not opt you out of an arbitration agreement you might otherwise have with Management (as applicable).
Holder and Holder’s belongings may be searched upon entering the Stadium, and prohibited items may be confiscated at the sole and exclusive discretion of Management and/or law enforcement authorities. Holder consents to such searches by or on behalf of Management and law enforcement authorities, and Holder expressly waives any and all claims relating to such searches. If Holder does not consent to such searches, Holder will be denied entry or ejected from the Stadium without refund. Further, Management reserves the right to refuse admission to or eject any person whose conduct, in Management’s sole discretion, violates these Terms or any applicable policies or code of conduct implemented by Management, violates any applicable federal or state law or local order, or is otherwise disorderly, without refund. Inappropriate behavior or abusive language may result in ejection (without refund), forfeiture of ticket privileges, and/or other legal action. Any Refund to Holder of the Face Value shall automatically terminate Holder’s rights hereunder.
Certain tickets grant Holders access to premium areas of the Stadium, including private suits, field access and/or access to hospitality areas (“Premium Ticket Holders”). Each Premium Ticket Holder agrees that under no circumstance shall he/she/they permit other individuals who are not Premium Ticket Holders to access such premium areas of the Stadium. Management and Stadium reserve the right at any time to change, alter, or amend any and all policies related to access, ingress/egress and behavior with premium areas, including as may arise on an event-by-event basis. Management makes no guarantee that all amenities in Premium Ticket Holder areas will be the same for every Event.
Holder agrees not to create, transmit, display, distribute, exploit, misappropriate or sell (or aid in such activity) any description or account (in any form now known or otherwise and including, without limitation, play-by-play data) of the Event for any commercial, non-personal, purpose. Holder agrees not to create, transmit, display, distribute, exploit or sell (or aid in such activity) any photographs, images, videos, livestreams, audio or other form of display or public performance or reproduction of any portion of the Event (the “Works”). Notwithstanding the foregoing, Holder agrees that by using this ticket to enter the Stadium, Holder hereby agrees to grant and grants Management an exclusive worldwide, irrevocable, perpetual, sub-licensable, royalty-free license to all rights associated with the Works. Holder also grants irrevocable permission to the Management and all NWSL member clubs (and each of their respective affiliates, sponsors, licensees, advertisers, broadcasters, designees, partners and agents) a worldwide, irrevocable, perpetual, sublicensable, royalty-free license to use, publish, distribute, edit, modify and/or alter Holder’s image, likeness, voice, actions and statements in any medium including, without limitation, any audio, video, film, photographs, social media, exhibition, transmission, publication or reproduction of the Event, in whole or in part, for any purpose, including without limitation the advertising or promotion of future NWSL games or other services provided by NWSL or by Bay FC, without further authorization or compensation. Holder further hereby waives all claims and potential claims relating to such use unless prohibited by law. All data collected by the NWSL and/or Bay FC shall be subject to the NWSL Privacy Policy or Bay FC Privacy Policy, as applicable. Bay FC and the NWSL may additionally use Holder’s non-personal and non-personally identifiable information of a biographic or demographic nature as pooled with the same or similar data from other ticket holders for purposes of analysis, to improve the service, systems, and products offered by the NWSL and/or Bay FC.
HOLDER VOLUNTARILY ASSUMES ALL RISKS, HAZARDS AND DANGERS arising from or relating in any way to the Event and Stadium, whether occurring before, during, or after the Event, including, without limitation, the risk of contracting a Communicable Disease or illness (including exposure to a bacteria, virus or other pathogen capable of causing a Communicable Disease or illness), the risk of physical injury or death, however caused, whether by players, by other people or by objects such as balls entering the spectator area, or otherwise, and the risks of lost, stolen or damaged property.
Holder hereby waives all claims and potential claims for, from, and against Management relating to such risks, hazards and dangers. Additionally, Holder, on behalf of itself and Holder’s next of kin, heirs and representatives, to the fullest extent permitted by applicable law, hereby expressly waive all rights under section 1542 of the California Civil Code, which provides as follows:
A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.
To the fullest extent permissible under applicable law, Holder hereby agrees to indemnify, defend, and hold Management harmless from any and all actual or alleged claims, suits, demands, and causes of action giving rise to damages, liabilities, losses, and expenses, including attorney’s fees or damage to Holder’s personal property, that may occur or arise out of Holder’s presence at the Stadium and/or attendance at the Event. In the event that Management should incur any of these types of damages, Holder agrees to reimburse Management. Further, if Holder needs medical treatment in connection with the Event, Holder agrees to be solely financially responsible for any and all costs and expenses incurred as a result of such treatment. Holder is aware and understands that Holder should carry his or her or their own insurance.
Holder further recognizes and acknowledges that the license provided by this ticket grants Holder a one-time entry to the Event at its scheduled date and time. In the event that, at any point after the gates to the Stadium open on the scheduled date of the Event but before the Event concludes, the Event is delayed or postponed due to inclement weather or for any other reason (hereinafter a “Suspended Event”), Holder recognizes and acknowledges that this license does not grant re-entry for any date and time scheduled for recommencement of the remainder of the Event. Management, in its sole discretion, will be entitled to determine whether this ticket will permit entry to the Suspended Event at the date and time for which it is rescheduled or at which play resumes, or whether any refunds shall be issued for this ticket.
This ticket and the Holder’s admission to the Stadium are subject to all safety and health requirements and policies put in place by Management, Stadium, and health authorities. Such policies and requirements as they may be updated from time to time (in the sole determination of the Management, and/or health authorities) and as they may be communicated to the Holder prior to or during the Event (whether orally or in writing) by, for example, instruction provided by Management personnel or signage in or around the Stadium (collectively, the “Safety Requirements”). Holder acknowledges and agrees to comply with the Safety Requirements, and attendance at the Event is conditioned on such compliance.
Except as specifically provided herein, if any provision of these terms is held by a court of competent jurisdiction to be unlawful, void, invalid, or unenforceable, the remaining provisions shall remain in full force and effect. In the event of a conflict between Ticketmaster’s (or other ticketing service used for the Event) terms and these terms and conditions, these terms and conditions will apply.
