Bay FC Ticketing Terms and Conditions

BAFC Team Operator, LLC and its parents, subsidiaries and affiliates (collectively, “Bay FC”) is pleased that you (referred to herein as “You” or “season ticket holder”) have chosen to become a season ticket holder for the 2026 Bay FC season. These Season Ticket Terms and Conditions form a legally binding agreement between You and Bay FC (the “Agreement”). BY SUBMITTING PAYMENT (INCLUDING BY WAY OF AUTOMATIC RENEWAL), YOU AGREE TO COMPLY WITH THE BAY FC POLICIES AND PROCEDURES REGARDING SEASON TICKETS AND THE TERMS SET FORTH IN THIS AGREEMENT. THIS AGREEMENT CONTAINS AN AUTOMATIC RENEWAL FEATURE. PLAN PAYMENTS WILL CONTINUE UNTIL YOU OPT-OUT OF THE PLAN. PLEASE SEE SECTIONS 5 AND 6 OF THIS AGREEMENT FOR THE TERMS RELATED TO AUTOMATIC RENEWAL.

THIS AGREEMENT INCLUDES AN ARBITRATION PROVISION WITH A CLASS ACTION AND JURY TRIAL WAIVER. THE ARBITRATION PROVISION MAY HAVE A SUBSTANTIAL IMPACT ON THE WAY IN WHICH YOU OR BAY FC RESOLVE ANY DISPUTE OR CLAIM ARISING FROM OR RELATED TO THIS AGREEMENT.

Season Tickets: Season tickets and all rights attendant thereto are owned by Bay FC. Your season tickets entitle You to a limited, revocable license to use the seats indicated on the season tickets issued to You and any related benefits at all Bay FC regular season National Women’s Soccer League (“NWSL”) games played at all locations or venues where Bay FC offers tickets for sale to Bay FC regular season NWSL home games, including primarily PayPal Park, located at 1123 Coleman Avenue in San Jose, California, but which may include additional or alternative venues on an event-by-event basis (the “Stadium”) during the season for which the season tickets are purchased (“Home Games”). Only the first listed name on any account shall be recognized as the season ticket holder. At Bay FC’s sole discretion, Your season tickets may also entitle You to a revocable license to attend related Bay FC events, including season ticket member events. Your Bay FC season tickets shall not be deemed to be property of an estate in bankruptcy and are not transferable under the United States Bankruptcy Code. In the event that You file for protection under any chapter of the Bankruptcy Code, Your season tickets shall immediately become void and of no further force and effect, and Bay FC shall be entitled to resell the season tickets to a third party in our sole discretion. If You are deceased, the court appointed personal representative may transfer the season tickets to one or more of Your immediate family members. The personal representative must provide documentation from an applicable court authorizing them to act in that capacity and information or documentation to demonstrate that the transferee is an immediate family member.
Payments: The right to purchase and receive tickets may be revoked by Bay FC for failure to make payments as and when due, and no amount paid by You (or on Your behalf) shall be refunded by Bay FC. In addition, Bay FC reserves all equitable and legal remedies, including collection of any unpaid amounts. You promise to pay the annual license fee associated with Your season ticket(s) as communicated to You by Bay FC prior to the start of each season. We reserve the right to increase license fees for Your season ticket(s) prior to the start of each season. You understand and agree that Bay FC is not liable in any way for erroneous billing statements or incorrect charges and that, should such an error occur in billing, Bay FC’s only responsibility is to correct it when and if Bay FC receives notice of the error. Bay FC reserves the right to charge a processing fee in the event a charge is refused for any reason.
ALL SALES ARE FINAL; NO REFUNDS OR EXCHANGES: All sales of season tickets are final, and no refunds of payments or deposits for season tickets, or exchanges for season tickets, will be made except as provided for herein, or in Bay FC’s sole discretion. Under all payment plans, all payments are due on the dates specified regardless of game cancellations, postponement, or rescheduling. You understand that a reduction in the number of Bay FC games played at the Stadium in a given year, or any change in the NWSL competition format, shall not entitle You to a refund or reduction in the amount of Your season ticket fees.
Home Games and Excluded Events:
a. Home Games currently consist of fifteen (15) NWSL regular season league games of Bay FC and, in Bay FC’s sole discretion, up to one (1) additional match (including, but not limited to, unofficial tournaments, and/or friendly matches). The addition of any regular season league games shall be deemed to increase the number of Home Games and the cost of the season tickets shall be increased by the average season ticket cost of similar tickets to a Home Game for each additional regular season league game during the impacted season. In the event that the NWSL reduces the number of regular season league games for any reason other than for an event of Force Majeure as set forth in Section 13 of this Agreement, the number of Home Games shall be decreased hereunder without adjustment to the cost of the season tickets.

b. Home Games do not include any of the following “Excluded Events”: (i) pre-season or post-season Bay FC games; (ii) any games, tournaments, exhibitions or matches not featuring Bay FC’s first team; (iii) games, tournaments, exhibitions or matches sponsored, organized or hosted by the San Jose Earthquakes, Major League Soccer (“MLS”), Federation Internationale de Football Association (“FIFA”), the Confederation of North, Central America and Caribbean Association Football (“CONCACAF”), the United States Soccer Federation (“USSF”) or the National Collegiate Athletic Association; (v) NWSL-controlled events such as the NWSL Championship Game or all-star games; (vi) other commercial entertainment and sporting events that are held from time to time at the Stadium, and (vii) extraordinary events designated as Excluded Events by Bay FC from time to time in its sole discretion. Admission to any Excluded Event is not included with Your purchase of season tickets. In the sole discretion of Bay FC, You may be entitled to purchase tickets to Excluded Events at prices and under terms established by Bay FC, but Bay FC has no obligation to offer You the opportunity to purchase tickets to Excluded Events.

c. If any laws, ordinances, orders, rules, regulations, and requirements of duly constituted federal, state, or municipal governmental authority, any sport governing body or any professional sports teams or leagues restrict attendance at any of Home Games or Excluded Events (either entirely or partially), Bay FC may suspend Your right to use Your season ticket(s) for any such event, without any further obligation to You.
AUTOMATIC RENEWAL NOTICE TO CONSUMERS REQUIRED UNDER CALIFORNIA LAW:
a. BY PURCHASING BAY FC SEASON TICKETS, YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT YOUR PLAN WILL AUTOMATICALLY RENEW FOR EACH SUCCESSIVE SEASON UNTIL YOU OPT-OUT PURSUANT TO THE PROCEDURES SET FORTH IN THIS AGREEMENT AND THE RENEWAL NOTICE, AS MAY BE AMENDED BY BAY FC FROM TIME TO TIME. DURING THE RENEWAL WINDOW FOR EACH SEASON, BAY FC (OR ITS TICKETING SERVICE PROVIDER) WILL PROVIDE YOU WITH A RENEWAL NOTICE AND INVOICE FOR THE RENEWAL OF YOUR SEASON TICKETS, WHICH SHALL SET FORTH THE AMOUNT TO BE CHARGED FOR SUCH TICKETS. IF YOU HAVE SELECTED THE CREDIT CARD OR ACH DEBIT METHOD OF PAYMENT, THEN UNLESS YOU NOTIFY BAY FC OF YOUR INTENT TO NOT RENEW YOUR SEASON TICKETS WITHIN THE TIME PERIOD AND IN ACCORDANCE WITH THE OPT-OUT PROCEDURES SET FORTH IN THE RENEWAL NOTICE, YOUR PAYMENT WILL AUTOMATICALLY BE PROCESSED FOR THE PURCHASE OF SUCH TICKETS IN THE AMOUNT SET FORTH IN SUCH RENEWAL NOTICE. By purchasing Season Tickets, you acknowledge and agree that fees will be charged to your credit/debit card on a recurring basis, without further authorization from you, and you accept full responsibility for all such recurring charges prior to cancellation OR OPTING OUT OF RENEWAL. This means that You are obligated to pay the applicable season ticket membership fee to bay FC for every NWSL season after You enter into this Agreement unless you opt-out of renewal.

b. NOTWITHSTANDING THE FOREGOING, YOU MAY NOTIFY BAY FC OF YOUR INTENT TO NOT RENEW YOUR SEASON TICKETS FOR SUBSEQUENT SEASONS AT ANY TIME, BUT ANY PREPAID FEES ARE NON-REFUNDABLE.

c. We will provide You advance notice of any material change to Your plan, including for example the amount of Your season ticket license fee, before the change takes effect.

d. You understand that Bay FC’s season ticket automatic-renewal plan does not constitute a guarantee that Bay FC will offer You the opportunity to purchase season tickets for any given season and is subject to the good standing of the account associated with the applicable season ticket(s). Bay FC reserves the right to modify or cancel the auto-renewal plan at any time and require payment for season tickets by some other means. You agree that Bay FC may send You notices and invoices related to the Bay FC auto-renewal plan via email at the email address associated with Your season ticket account, and You agree to promptly notify Bay FC of any updated email address that should be used to contact You.
Opting-Out of the Automatic Renewal of Your Season Tickets: To opt-out of the automatic renewal of Your season tickets, YOU MUST TAKE THE FOLLOWING ACTION: send an e-mail to us at moc.cfyabobfsctd-6e1dd0@secivresrebmem, call us at 833-GO-BAYFC or select the “opt-out” option through Your Tixr Account. Should You choose to opt-out, such opt-out will become effective at the end of Your then-current auto-renewal term. All auto-renewal plans for season ticket fees charged to Your credit/debit card prior to cancellation are nonrefundable and in no event will Bay FC provide a partial or pro-rated refund. For example, for the 2026 season, You must opt-out of autorenewal before the close of the opt-out window as set forth in Your Renewal Notice. If You fail to opt-out before the close of the opt-out window, no amount of the fee charged to Your credit/debit card at the close of the opt-out window will be refundable, and Your season tickets will renew until the conclusion of the 2026 season.
AUTOMATIC PURCHASE OF PLAYOFF AND/OR EXCLUDED EVENT TICKETS: IN THE EVENT THAT BAY FC ELECTS TO OFFER YOU AN OPPORTUNITY TO PURCHASE PLAYOFF TICKETS AND/OR EXCLUDED EVENT TICKETS IN ITS SOLE DISCRETION, THEN BAY FC SHALL PROVIDE AN INVOICE TO YOU FOR SUCH PURCHASE, WHICH INVOICE SHALL SET FORTH THE AMOUNT TO BE CHARGED FOR SUCH TICKETS. IF YOU HAVE SELECTED THE CREDIT CARD OR ACH DEBIT METHOD OF PAYMENT, THEN UNLESS YOU NOTIFY BAY FC OF YOUR INTENT TO NOT PURCHASE SUCH PLAYOFF TICKETS OR EXCLUDED EVENT TICKETS WITHIN THE TIME PERIOD AND IN ACCORDANCE WITH THE OPT-OUT PROCEDURES SET FORTH ON THE INVOICE, YOUR PAYMENT WILL AUTOMATICALLY BE PROCESSED FOR THE PURCHASE OF SUCH TICKETS IN THE AMOUNT SET FORTH IN SUCH INVOICE.
Non-Transferability; Restrictions: All Bay FC season tickets are sold to fans for their personal or business use. Season ticket accounts and all rights attendant thereto are personal and non-transferable. All season tickets will be emailed to a single address. Request for a change of email address must be in writing and signed by the season ticket holder. You acknowledge and agree that Your ticket resale, transfer, barter, or trade activity may be monitored and tracked by Bay FC. The sale, resale, trade, barter, or transfer (or attempted sale, resale, trade, barter, or transfer) of any season tickets by unauthorized means is prohibited, and violation of this policy may result in cancelation of season tickets without refund or other compensation. You agree not to transmit, distribute, barter, trade, or sell (or aid in transmitting, distributing, or selling), for commercial purposes, in any media any description, account, picture, video, audio, or other form of reproduction of any Bay FC game or any surrounding activities for which Your ticket is issued. Any breach or violation of these restrictions may impact the rights and benefits You receive and shall entitle Bay FC to all available legal remedies, including but not limited to revocation or cancellation of Your season ticket account, or access to Bay FC tickets generally. Upon such revocation or cancellation, neither Bay FC nor any of its agents shall have any obligation to issue You a credit, refund or any other compensation for any payments paid.
Bay FC Rules; Fan Behavior: Bay FC and the Stadium are committed to creating a safe, comfortable and enjoyable sports and entertainment experience. Your use of the season tickets and access to the Stadium shall be governed by and subject to any applicable rules or policies that may be implemented from time to time by Bay FC, the Stadium and/or the NWSL in its and their sole discretion, including but not limited to the standard ticket terms and spectator waiver currently found at Bay FC Ticketing Terms and Conditions (collectively, the “Rules”), as modified from time to time. You and Your guests shall abide by all agreements and restrictions set forth in or referenced by the Rules. Any ticket holder who behaves in an unruly, objectionable, disruptive, or offensive manner, including, but not limited to, foul language, intoxication, physical or verbal abuse of other fans, Stadium employees, game officials, players or coaches before, during, or after a game may be asked to leave the Stadium. The account holder of record is strictly responsible for such behavior by anyone using their tickets. If You or any of Your guests engage in such behavior, as determined in Bay FC’s sole discretion, Bay FC reserves the right to suspend or terminate Your Bay FC season tickets, revoke the privilege of You and/or Your guests to attend Bay FC matches, ancillary Bay FC and/or NWSL events, or any other events held at the Stadium, or otherwise sanction You and/or Your guests as permissible by law, without refund or other compensation in accordance with Bay FC’s. the Stadium’s and/or the NWSL’s policies and procedures.
Assumption of Risk; Release of Liability:
a. You and Your officers, directors, shareholders, members, partners, advisors, consultants, employees, agents, or guests (collectively, “Ticketholder Parties”) assume all risks of injury, loss and other dangers arising from or related to admission to the Stadium, or the adjacent grounds or structures (the “Venue”), including but not limited to spectator or player interaction, facility conditions, flying balls, drones, equipment, parts and any other object(s) and other hazards associated with attending a live soccer event in a public forum, using the season tickets and/or becoming exposed to or contracting an Illness (as defined below), whether occurring prior to, during, or after the game, howsoever caused and whether by negligence or otherwise. “Illness” means any communicable and/or infectious diseases, airborne or surface transmitted viruses and bacteria, including but not limited to COVID-19, and any strains, variations, adaptations or mutations thereof.

b. To the maximum extent permitted by law, Bay FC, the Stadium, the NWSL and each of their present and future parents, subsidiaries and affiliates as well as its and their respective officers, employees, directors, shareholders, members, partners, advisors, consultants, agents, event sponsors and participants (“Bay FC Parties”) shall not be liable for any personal injury or damage to or loss of property of You or the Ticketholder Parties in or upon the Venue, or the adjacent grounds or structures resulting from any cause whatsoever, or arising from any products, services, merchandise, food, or other items received in connection with Your Bay FC season tickets, unless due solely to willful misconduct or gross negligence of Bay FC as determined by an arbitrator appointed in accordance with Section 15 in a final, non-appealable arbitral award.

c. In consideration for being permitted to use the tickets and Stadium, You hereby on behalf of Yourself and any Ticketholder Parties using tickets provided under this Agreement knowingly, voluntarily and irrevocably and forever release, hold harmless, waive, discharge and covenants not to sue, each and all of Bay FC and the Bay FC Parties, from or with respect to any and all liability, lawsuits, causes of action and claims for damages, costs or expense, whether past, present or future, and whether known or unknown (collectively, “Claims”), including, without limitation, arising out of or in connection with death, personal injury, illness, disability, suffering of short or long term health effects, or loss of or damage to property, which You and/or any Ticketholder Parties’ may have or hereafter accrue against Bay FC or the Bay FC Parties as a result of or that relate in any way to (i) Your and/or any Ticketholder Parties’ attendance at the Stadium, (ii) Your and/or any Ticketholder Parties’ travel to or from or presence at the Stadium, or (iii) any of the risks identified in these Terms and Conditions. You understand that this release, waiver, and covenant not to sue includes any Claims based on the negligence, action, or inaction of any of Bay FC or the Bay FC Parties and covers Claims of any sort whether suffered before, during or after any events at the Stadium.

d. You recognize and agree that this release and waiver of liability is a full, general, and final release and waiver of all Claims. You further acknowledge that You have read Section 1542 of the Civil Code of the State of California, which currently provides as follows:

A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.

You understand that, pursuant to Section 1542, You have the right not to release existing claims of which You are not now aware, unless You voluntarily choose to waive this right. Even though You acknowledge that You are aware of such right, You nevertheless hereby voluntarily waive such rights and elect to assume all rights for claims that now exist in Your favor, known or unknown, arising from the subject matter of the waiver of liability and release set forth herein.

e. IF MINOR(S) IS/ARE ACCOMPANYING YOU TO THE EVENT, YOU ARE DEEMED TO HAVE GIVEN ALL OF THE FOREGOING GRANTS OF RIGHTS, RELEASES AND WAIVERS ON BEHALF OF SUCH MINOR(S) AS THEIR PARENT OR GUARDIAN OR AS THE AUTHORIZED AGENT OF THEIR PARENT OR GUARDIAN. IF YOU DO NOT CONSENT TO GRANT OR ARE NOT AUTHORIZED TO GRANT SUCH RIGHTS, RELEASES AND WAIVERS ON BEHALF OF THE ACCOMPANIED MINOR(S), YOU MUST IMMEDIATELY LEAVE THE STADIUM WITH THE MINOR(S).
LIMITATION OF LIABILITY: THE LIABILITY OF THE BAY FC PARTIES FOR DAMAGES OF ANY KIND ARISING OUT OF THE PURCHASE, POSSESSION OR USE OF A SEASON TICKET, INCLUDING WITHOUT LIMITATION BREACH OF CONTRACT, IS LIMITED TO A REFUND OF THE PURCHASE PRICE OF THE SEASON TICKET HOLDER’S UNUSED TICKETS. THIS REMEDY IS THE SOLE AND EXCLUSIVE REMEDY IN NO EVENT SHALL THE STADIUM, BAY FC, NWSL OR ANY BAY FC PARTIES BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES.
Image Rights: You grant, on behalf of yourself and Your guests using tickets provided under this Agreement, permission to Bay FC, NWSL and the Stadium (and their respective employees, designees and agents) to utilize Your and Your guests’ image, likeness, actions and statements in any live or recorded audio, video, film, or photographic display or other transmission, exhibition, publication or reproduction made of, or at, the Stadium in any medium, whether now known or hereinafter created, or context for any purpose, including, without limitation, commercial or promotional purposes, without further authorization or compensation. In addition, You grant, on behalf of yourself and Your guests using tickets provided under this Agreement, to Bay FC, the NWSL and the Stadium permission to collect, use, share and store certain facial and other biometric information of You and Your guests as permitted by law, including for security purposes.
Force Majeure; Relocated or Unplayed Games: You understand that the Stadium, the NWSL and/or Bay FC may cancel, postpone or limit seating capacity for certain or all Home Games. You expressly acknowledge that such actions may prevent You from using season tickets purchased under this Agreement and/or from accessing Your designated seat location(s). In the event that fewer than thirteen (13) Home Games are played at the Stadium during the season or You are prevented from accessing the seat location(s) on Your season tickets, whether because of acts of god, war, civil commotion, pandemic, epidemic, fire, flood or other casualty, strikes, or other labor difficulty, shortages of labor or materials or equipment, government order or regulation or any other causes not reasonably within Bay FC’s control (“Impacted Games”), Bay FC will, in its sole discretion, (1) provide You with reasonably-comparable tickets in an unaffected area of the Stadium for the Impacted Game(s); (2) reduce the total amount due for the season tickets by the ticket cost of the game(s) not played at the Stadium, as determined by Bay FC and variable by game (“Impacted Ticket Value”); or (3) issue a credit to Your account for the Impacted Ticket Value for a future season. The foregoing shall be Your sole and exclusive remedy for any Impacted Games. Nothing herein, including without limitation Bay FC’s issuance of season tickets, shall operate as or constitute any representation, warranty, covenant or guarantee by Bay FC or the NWSL that any number of games shall occur at the Stadium.
Security Policies and Procedures; Rights Reserved: The season ticket holder and its guests and their respective belongings may be searched upon entry to the Stadium and/or other security checkpoints, prohibited items (which may include, without limitation, bags) may be confiscated at the sole discretion of the NWSL, Bay FC and/or the Stadium, and the season ticket holder hereby consents to the foregoing and waives any related claims that might arise against Bay FC, the NWSL and/or the Stadium. If the season ticket holder or it guests elect not to consent to such searches, the season ticket holder and its guests will be denied entry into the Stadium without refund. Bay FC and the Stadium reserve the right to modify, change, amend, or update from time to time, upon notice to You, any of its respective policies and procedures, including, but not limited to, those relating to the licensing of season tickets.
INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (“Arbitration Agreement”):
a. Any and all claims and disputes whatsoever, including, but not limited to those relating in any way to this Agreement and/or any season tickets, memberships, season ticket plans, payment plans, invoices, games, marketing efforts, promotions, or any of our dealings with one another during any current or future season (“Claims”), including for Claims concerning the validity, scope or enforceability of this Arbitration Agreement, shall exclusively be resolved through BINDING INDIVIDUAL ARBITRATION. This Arbitration Agreement involves interstate commerce and shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16 (“FAA”), and not by state law.

b. By agreeing to be bound by this Arbitration Agreement, neither of us will have the right to a court or jury trial or to participate in a class action or class arbitration. Other customary rights that Bay FC and You would otherwise have if either went to court will not be available or will be more limited in arbitration, including the right to appeal. Bay FC and You each understand and agree that by allowing each other to elect to resolve any dispute through individual arbitration, BAY FC AND YOU ARE EACH WAIVING THE RIGHT TO A COURT OR JURY TRIAL ON ANY CLAIM. IF EITHER PARTY COMMENCES ARBITRATION, THE APPLICABLE DISPUTE SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, CLASS ARBITRATION OR ANY SIMILAR PROCEEDING. Neither the American Arbitration Association (“AAA”), which shall administer the arbitration, nor the arbitrator may consolidate the claims of multiple parties.

c. Arbitrations shall be administered by the AAA pursuant to the applicable AAA rules in effect at the time the arbitration is initiated. You may obtain information about arbitration, arbitration procedures and fees from AAA by calling 800-778-7879 or visiting www.adr.org. If the AAA is unable or unwilling to arbitrate a dispute, then the dispute may be referred to any other arbitration organization or arbitrator that both parties agree upon in writing or that is appointed pursuant to section 5 of the FAA. The arbitration shall take place in San Francisco, California. The arbitrator shall be authorized to award any relief that would have been available in court, provided that the arbitrator’s authority is limited to Bay FC and You alone, except as otherwise specifically stated herein. No arbitration decision will have any preclusive effect as to non-parties. The arbitrator’s decision shall be final and binding. Bay FC and You agree that this Arbitration Agreement extends to any other parties involved in any Claims, including but not limited to those You permit to use Your tickets and relevant Bay FC employees, affiliated companies and vendors. This Arbitration Agreement shall take precedence over the rules of the arbitration organization or arbitrator in the event of any conflict.

d. Notwithstanding any other provision herein, You and Bay FC may each seek relief in a small claims court for Claims within its jurisdiction. In addition, either party may exercise any lawful rights to seek provisional remedies or self-help, without waiving the right to arbitrate by doing so. Notwithstanding any other provision of this Arbitration Agreement, if the foregoing class action waiver and prohibition against class arbitration is determined to be invalid or unenforceable, then this entire Arbitration Agreement shall be void. If any portion of this Arbitration Agreement other than the class action waiver and prohibition against class arbitration is deemed invalid or unenforceable, it shall not invalidate the remaining portions of this Arbitration Agreement. This Arbitration Agreement will survive the termination of this Agreement and any related agreement, Your fulfillment or default of Your obligations under this Agreement or any related agreement, and/or Your or Bay FC’s bankruptcy or insolvency (to the extent permitted by applicable law).

e. YOU HAVE THE RIGHT TO REJECT THIS ARBITRATION AGREEMENT, BUT YOU MUST EXERCISE THIS RIGHT PROMPTLY AS SET FORTH BELOW. If You do not wish to be bound by this Arbitration Agreement, You must notify Bay FC in writing within sixty (60) days after the date You agree to these Terms and Conditions. You must send my request to: Bay FC, Attn: Legal Department, 609 Mission St, San Francisco, CA 94105. The request must include Your full name, address, account number, and the statement to the effect of “I reject the Arbitration Agreement contained in Bay FC’s Season Ticket Terms and Conditions.” If You exercise Your right to reject arbitration, the other terms of Bay FC’s Season Ticket Terms and Conditions shall remain in full force and effect as if You had not rejected arbitration.
Transfer; Assignment: Except as expressly provided in this Agreement, You may not assign or transfer any of Your rights and obligations, in whole or in part, under this Agreement without the express written consent of Bay FC which may be withheld for any or no reason. In the event that You attempt to offer, sell, assign or transfer Your rights under this Agreement in violation of this Agreement, Bay FC will have the right, but not the obligation, to terminate this Agreement, revoke Your season tickets and pursue any and all remedies available under this Agreement, at law and in equity.
Notices: All notices, demands and other communications between You and Bay FC shall be in writing and deemed given upon confirmed e-mail transmission, or when mailed, postage prepaid, to the respective addresses or facsimile numbers set forth or provided below. Either party may update their notice address upon written notice to the other party hereto.

NOTICE ADDRESS FOR SEASON TICKET HOLDER: As set forth in the season ticket holder’s account information.
Default; Termination: In the event You fail to pay as and when due and payable any amounts to be paid by You pursuant to this Agreement (including, without limitation, the applicable season ticket fee, food and beverage charges, taxes or other fees (or any portion thereof) or accrued interest, costs or expenses), or otherwise default in the performance or observation of Your duties and obligations under this Agreement, Bay FC may, at its option: (i) withhold distribution of tickets to You and resell the tickets, and/or (ii) terminate Your rights under this Agreement without compensation to You. The foregoing remedies shall not be to the exclusion of any other right or remedy of Bay FC set forth in this Agreement or otherwise available to Bay FC at law or in equity. If Bay FC terminates Your rights under this Agreement due to Your breach, Bay FC shall be entitled to retain all amounts You paid to Bay FC for the tickets with no further obligation of any kind to You and Bay FC will have the right, but not the obligation, to release the seat(s) to another person or entity (and shall have no obligation whatsoever to offset amounts owed to Bay FC by You with any amounts Bay FC may receive from any release of the seat(s) (if any)). You shall be responsible for all attorneys’ fees and costs incurred by Bay FC in the enforcement of this Agreement whether or not arbitration is actually commenced. You expressly acknowledge and agree that Your right to purchase Bay FC season tickets is expressly conditioned upon (i) this Agreement being in effect throughout the term and (ii) Your compliance with all terms and conditions of this Agreement. Without limiting any of Bay FC’s other rights hereunder, Bay FC may terminate this Agreement at any time, for any reason, upon notice to You. In the event of any such termination, You shall be entitled to receive a refund of any portion of the applicable season ticket fee actually paid to Bay FC that is attributable to the remaining portion of the term after such termination.
Miscellaneous. Except as set forth in the Arbitration Agreement, this Agreement shall be governed by the laws of the state of California applicable to agreements made and to be performed entirely in California, without regard to any conflicts of laws principles thereof. Subject to the Arbitration Agreement, You agree that the proper and exclusive forum for any legal action arising out of or relating to this Agreement shall be San Francisco, California, and that any such action shall be brought only in San Francisco, California. You consent to the exercise of personal jurisdiction in any such action by the state or federal courts located in San Francisco County, California. To the fullest extent permitted by law, Bay FC reserves the right to modify the pricing of tickets, Bay FC policies, and this Agreement in its sole discretion and for any lawful reason, upon reasonable notice to You. Notwithstanding anything to the contrary herein, Bay FC reserves all rights under all other applicable law. Any waiver of any of the terms and provisions of this Agreement shall be effective only if set forth in writing signed by the party to be charged. No waiver by Bay FC of any default or breach by You of the obligations under this Agreement shall be construed to be a waiver or release of any other subsequent default or breach by You or anyone else under this Agreement, and no failure of or delay by Bay FC in the exercise of any remedy provided for herein shall be construed as a forfeiture or waiver thereof or of any other right or remedy available to Bay FC. Except as set forth in the Arbitration Agreement, if any provision of this Agreement is determined to be invalid or unenforceable, such provision shall be amended to the minimum extent necessary to make such provision enforceable, and any such invalidity or unenforceability shall not affect the validity or enforceability of any other provision hereof. You represent and warrant that You have the authority to sign on behalf of, and bind, the owner of season tickets governed by this Agreement. Bay FC’s performance of this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement shall waive or impede Bay FC’s right to comply with law enforcement requests or requirements relating to Your season tickets or information provided to or gathered by Bay FC with respect to such season ticket membership. This Agreement constitutes the complete and entire statement of all terms, conditions and representations of our agreement with respect to Bay FC season tickets and supersedes all prior writings or understanding. Bay FC’s affiliates or subsidiaries and the NWSL are third party beneficiaries of this Agreement and shall have the right to enforce this Agreement against You.
